How many members must a nonprofit corporation have?

Generally, a minimum of three directors is recommended for non-profits. Some states, including California, require only one director.  However, the IRS may reject an application for exemption under Section 501(c)(3) if an organization lists only one director. Many nonprofits opt to have an odd number of directors in order to avoid potential deadlock caused by a tie vote.
